Terms for Customers

1. Use of the marketplace
By browsing and using the V-Intellect marketplace you agree to use it only for lawful purposes in accordance with these terms, the Electronic Communications and Transactions Act 25 of 2002 (ECTA), and applicable South African law. You may search products, request quotes, and place orders subject to these terms and any supplier-specific terms displayed at checkout.
2. Platform intermediary
V-Intellect operates as an intermediary platform connecting buyers with suppliers. We do not sell, supply, or guarantee the products or services offered by suppliers. Contracts for the supply of goods or services are between you and the relevant supplier. Our role is limited to facilitating the platform, processing payments where applicable, and enforcing these terms.
3. Account and accuracy
You must provide accurate contact and company information and keep your account credentials secure. You are responsible for all activity under your account. We may suspend or terminate your account for breach of these terms, prohibited conduct, or to comply with law.
4. Orders and quotes
Quotes and orders are subject to supplier availability and acceptance. Payment and delivery terms are as agreed with the supplier and/or displayed at checkout. Your rights as a consumer are subject to the Consumer Protection Act 68 of 2008 (CPA) where applicable.
5. Prohibited conduct
You may not use the platform for any unlawful purpose; to misrepresent your identity or affiliation; to interfere with the platform or other users; to scrape or harvest data without consent; or to circumvent platform or payment controls. Breach may result in account suspension or termination.
6. Limitation of liability
To the fullest extent permitted by law in the Republic of South Africa, V-Intellect and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform or any transaction with a supplier. Our aggregate liability to you in respect of any claim arising from or in connection with these terms or the platform shall not exceed the amount you paid to us (if any) in the twelve (12) months preceding the claim, or R5,000 (five thousand rand), whichever is lower. Nothing in these terms excludes liability that cannot be excluded under the CPA or other applicable law.
7. Indemnity
You indemnify and hold harmless V-Intellect, its directors, employees, and agents from and against any claims, losses, damages, and costs (including reasonable legal costs) arising from your breach of these terms, your use of the platform, or your transactions with suppliers.
8. Governing law and jurisdiction
These terms are governed by the laws of the Republic of South Africa. Any dispute arising from or in connection with these terms or the platform shall be subject to the exclusive jurisdiction of the courts of the Republic of South Africa.
